Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Innovantics LTD ("Innovantics," "we," "our," or "us") governing your use of the Bifense biometric verification platform ("Platform"), including our website, APIs, dashboards, and related services.
By creating an account or accessing the Platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
We may update these Terms from time to time. Material changes will be communicated via email or through the Platform at least 30 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
Service Description
Bifense is a biometric verification platform that provides:
- Facial recognition and 1:1 identity verification APIs
- 1:N identification and search capabilities
- Biometric enrolment and template management
- Liveness detection and anti-spoofing analysis
- Administrative dashboard for operations management
- On-premise deployment options for enterprise customers
The specific features available to you depend on your subscription plan. We reserve the right to modify, enhance, or discontinue features with reasonable notice.
Account Registration
To access the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials, including API keys
- All activities that occur under your account
- Promptly notifying us of any unauthorised access or security breach
- Ensuring that all users within your organisation comply with these Terms
We may suspend or terminate accounts that provide false information or violate these Terms.
API Usage
Access to the Bifense API is subject to the following conditions:
- API keys are confidential and must not be shared publicly, embedded in client-side code, or committed to public repositories
- You must respect rate limits associated with your plan. Exceeding rate limits may result in temporary throttling or suspension
- API usage must comply with the acceptable use policy and applicable laws, including biometric data regulations in your jurisdiction
- You must implement appropriate error handling and must not rely on undocumented API behaviour
Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party rights
- Process biometric data without appropriate legal basis, consent, or authorisation
- Conduct surveillance or monitoring in violation of applicable privacy laws
- Attempt to reverse-engineer, decompile, or extract source code from the Platform
- Interfere with the Platform's operation, security, or integrity
- Resell, sublicense, or redistribute the Platform without written authorisation
Violation of these restrictions may result in immediate suspension or termination of your account.
Intellectual Property
The Platform, including all software, algorithms, designs, documentation, and content, is the intellectual property of Innovantics LTD and is protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform in accordance with these Terms and your subscription plan. This licence does not include any right to modify, distribute, or create derivative works based on the Platform.
You retain ownership of all data you submit to the Platform. You grant us a limited licence to process that data solely to provide the Platform services.
Data Processing
When the Platform processes personal data on your behalf, we act as a data processor and you act as the data controller. Our respective obligations are set out in our Data Processing Agreement, which forms part of these Terms.
You are responsible for ensuring that your use of the Platform complies with applicable data protection laws, including obtaining any necessary consents for the processing of biometric data. Our Privacy Policy provides further detail on our data practices.
Limitations of Liability
To the maximum extent permitted by law:
- The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose or non-infringement
- Innovantics LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- Our total aggregate liability under these Terms shall not exceed the amounts paid by you to Innovantics LTD in the twelve months preceding the claim
While we maintain high availability targets, biometric verification results are probabilistic in nature and should not be the sole basis for decisions with significant legal or safety consequences without appropriate human oversight.
Termination
Either party may terminate the service agreement:
- For convenience: with 30 days written notice
- For cause: immediately upon material breach that is not remedied within 14 days of written notice
Upon termination, your access to the Platform will be revoked. We will retain your data for a reasonable transition period (typically 30 days) during which you may export your data. After this period, data will be deleted in accordance with our retention policies.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Innovantics LTD is incorporated, without regard to conflict of law principles.
Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the competent courts of the applicable jurisdiction.
